This website (https://proads.digital/) is owned and operated by SMS Aurora Groups, a partnership
firm registered in India, having its principal place of business at Door Nos. 4/461 & 4/462, Second
Floor, Valamkoottil Towers, Judgemukku, Thrikkakara P.O., Kakkanad, Kochi – 682021, Kerala, India
(“ProAds Digital”, “we”, “us”, or “our”).
By accessing or using this website and our services, you (“you”, “User”, “Customer”) agree to be
bound by these Terms and Conditions. If you do not agree, please do not use the website or
services.
1. About Our Services
ProAds Digital is a business messaging solutions provider. We offer communication services
including, but not limited to, WhatsApp Business API messaging, RCS Business Messaging, Bulk
SMS, Voice Call services, Email services, chatbot tools, and related multichannel campaign
management and analytics (“Services”).
The Services are intended for use by businesses for legitimate commercial communication only.
2. Eligibility
To use our Services, you must:
→ Be at least 18 years of age and legally capable of entering into a binding contract.
→ Be a business, or be authorised to act on behalf of a business.
→ Provide accurate, complete, and current information during sign-up and account use.
We reserve the right to refuse service, suspend, or terminate any account at our discretion.
3. Account Registration
You are responsible for maintaining the confidentiality of your account credentials and for all activity
that occurs under your account. You must notify us immediately of any unauthorised use of your
account. We are not liable for any loss arising from unauthorised use of your account.
4. Acceptable Use and Compliance
Because our Services involve sending messages to recipients, you agree that:
→ You will obtain valid consent from recipients before sending them any communication, as
required by applicable law.

→ You will comply with all applicable laws and regulations, including the Telecom Regulatory
Authority of India (TRAI) regulations, DLT (Distributed Ledger Technology) registration
requirements, the Information Technology Act, 2000, and the policies of underlying platform
providers such as Meta (WhatsApp), Google (RCS), and telecom operators.
→ You will not use the Services to send spam, unsolicited messages, fraudulent, abusive,
defamatory, obscene, misleading, or unlawful content.
→ You will not use the Services to infringe any intellectual property rights or to promote illegal
goods or services.
You are solely responsible for the content of the messages you send and for obtaining all necessary
consents and registrations. We may suspend or terminate your account without notice if we believe
you have violated this section.
5. Pricing and Payment
→ Charges for the Services are as displayed on our website, in your dashboard, or as set out in a
separate written quotation or order.
→ Some Services operate on a pay-as-you-go or prepaid wallet/credit basis. Certain charges (for
example, per-message fees levied by WhatsApp, telecom operators, or other third parties) are
billed at cost and are non-refundable once consumed.
→ All fees are exclusive of applicable taxes (including GST) unless stated otherwise. You are
responsible for all applicable taxes.
→ Payments are processed through third-party payment gateways. By making a payment, you also
agree to the terms and privacy policy of the relevant payment gateway provider.
→ We reserve the right to revise pricing at any time. Changes will not affect credits already
purchased.
6. Cancellation and Refund Policy
→ Subscription / plan cancellation: You may cancel a recurring subscription at any time from
your dashboard or by contacting us. Cancellation stops future renewals; it does not entitle you to
a refund of fees already paid for the current billing cycle.
→ Refund eligibility: Refunds may be considered only where a paid Service has not been
activated or used, or where you have been charged in error (for example, a duplicate or failed
transaction that was nonetheless debited).
→ Non-refundable items: Message credits, wallet recharges, and per-message charges that have
already been consumed or delivered are non-refundable. Charges passed through from third
parties (Meta, Google, telecom operators) are non-refundable once the messages are sent.
Setup, onboarding, customisation, and one-time fees are non-refundable once work has
commenced.

→ How to request a refund: Submit your request to info@proads.digital within 7 days of the
transaction, including your registered details, transaction ID, and reason. We will review and
respond to your request.
→ Processing timeline: Approved refunds will be processed to the original payment method
within 7 to 10 business days. Actual credit to your account may depend on your bank or
payment provider’s processing time.
→ Duplicate / failed transactions: If your account is debited but the transaction fails or is
duplicated, the amount is normally auto-reversed by the payment gateway within 5 to 7 business
days. If it is not, contact us and we will assist.
7. Service Availability
We aim to provide reliable Services but do not guarantee uninterrupted or error-free operation.
Delivery of messages depends on third-party networks (telecom operators, Meta, Google) and
recipient settings, which are outside our control. We are not liable for non-delivery, delays, or blocking
caused by such third parties.
8. Intellectual Property
All content, software, trademarks, logos, and materials on this website and within the Services are
owned by or licensed to SMS Aurora Groups. You may not copy, reproduce, distribute, or create
derivative works without our prior written consent.
9. Limitation of Liability
To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the
Services shall not exceed the amount paid by you to us in the three (3) months preceding the event
giving rise to the claim. We are not liable for any indirect, incidental, consequential, or special
damages, including loss of profits, data, or business.
10. Indemnity
You agree to indemnify and hold harmless SMS Aurora Groups, its partners, employees, and agents
from any claims, damages, losses, or expenses (including legal fees) arising from your use of the
Services, your content, or your breach of these Terms or any applicable law.
11. Suspension and Termination
We may suspend or terminate your access to the Services, with or without notice, if you breach these
Terms, fail to pay, misuse the Services, or if required by law or by our service or payment partners.

12. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted on this page with
a revised “Last updated” date. Continued use of the Services after changes constitutes acceptance.
13. Governing Law and Jurisdiction
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive
jurisdiction of the courts at Ernakulam, Kerala, India.
